SAFERWATCH LTE PANIC BUTTON TERMS AND CONDITIONS

By purchasing, activating, subscribing to, or using a SaferWatch LTE Panic Button and any related monitoring, communication, notification, or emergency response services (collectively, the "Services"), Customer agrees to be bound by these Terms and Conditions.

  1. MONITORING SERVICES

SaferWatch may provide 24 hours per day, 7 days per week monitoring services through its internal monitoring center and/or authorized third-party monitoring providers ("Monitoring Center").

Upon receipt of an emergency signal, panic alert, distress signal, or other event requiring assistance ("Response Event"), the Monitoring Center may, at its sole discretion:

• Attempt to contact the user through the LTE Panic Button, telephone, text message, mobile application, or other available communication methods.
• Attempt to contact designated emergency contacts, security personnel, or other responders identified by Customer.
• Contact local law enforcement, emergency medical services, fire departments, private security providers, or other emergency responders.
• Determine that a Response Event does not require emergency notification based upon information received.

SaferWatch shall have sole discretion regarding the handling of Response Events and shall not be liable for any delay, failure, or decision relating to notification or response procedures.

SaferWatch does not guarantee that emergency responders will be dispatched, respond, or arrive within any specific timeframe.

  1. LTE PANIC BUTTON SYSTEM REQUIREMENTS

The LTE Panic Button relies upon:

• Cellular network availability and coverage
• GPS satellite connectivity
• Wireless carrier infrastructure
• Internet connectivity
• Electrical power systems
• Third-party telecommunications services
• Cloud-based software services

These systems are outside the control of SaferWatch and may experience outages, interruptions, delays, congestion, degradation, or complete failure.

Customer acknowledges that the LTE Panic Button may not function in all locations, including but not limited to:

• Areas with poor cellular coverage
• Underground structures
• Remote locations
• Buildings that block GPS signals
• During carrier outages or service disruptions
• During natural disasters or widespread emergencies

SaferWatch does not warrant uninterrupted operation of the LTE Panic Button or Services.

  1. NO GUARANTEE OF EMERGENCY RESPONSE

The LTE Panic Button and Services are intended to assist in communicating emergencies but do not guarantee:

• Prevention of injury, death, assault, crime, or property damage
• Successful communication with emergency responders
• Dispatch of emergency services
• Accurate location information
• Timely response by any responder
• Resolution of any emergency situation

Customer understands that the LTE Panic Button is not a substitute for dialing 911 when available and practical.

  1. LOCATION SERVICES AND GPS ACCURACY

The LTE Panic Button utilizes GPS, cellular triangulation, and other location technologies.

Location information may be delayed, inaccurate, incomplete, unavailable, or affected by environmental conditions.

SaferWatch makes no representation or warranty regarding the accuracy, reliability, or availability of location information.

  1. CUSTOMER RESPONSIBILITIES

Customer shall:

• Maintain the LTE Panic Button in good working order.
• Charge the device as instructed.
• Test the device periodically.
• Notify SaferWatch of any malfunction.
• Maintain accurate emergency contact information.
• Use the device only for lawful purposes.
• Follow all operating instructions provided by SaferWatch.

Failure to comply with these requirements may impair operation of the Services.

  1. FALSE ALARMS

Customer shall be solely responsible for any fines, fees, penalties, charges, or expenses arising from false alarms, accidental activations, misuse, or unnecessary emergency dispatches.

SaferWatch shall not be responsible for any charges assessed by governmental agencies, emergency responders, law enforcement agencies, or third parties.

  1. EXECUTIVE PROTECTION AND LONE WORKER SERVICES

Executive Protection, Lone Worker Protection, and Personal Safety Services are supplemental safety tools only.

SaferWatch is not a security guard company, private investigative agency, law enforcement agency, emergency medical provider, or personal protection service.

The Services do not provide physical security personnel, bodyguards, escorts, or on-site emergency responders.

Customer acknowledges that no technology can eliminate personal safety risks.

  1. RECORDING AND COMMUNICATIONS

Customer consents to the recording, monitoring, storage, and review of communications involving the LTE Panic Button, Monitoring Center, mobile application, or related Services.

These recordings may be used for:

• Emergency response purposes
• Quality assurance
• Training
• Investigations
• Legal compliance

Customer represents that all authorized users have provided consent where required by applicable law.

  1. CONSENT TO CONTACT

Customer authorizes SaferWatch and its service providers to contact Customer and designated emergency contacts through:

• Telephone calls
• Automated calls
• SMS messages
• Push notifications
• Email
• Mobile applications
• Other electronic communications

Customer is responsible for obtaining consent from all designated contacts.

  1. SUBSCRIPTION SERVICES

The LTE Panic Button requires an active subscription and cellular service plan.

Failure to maintain payment may result in suspension or termination of Services.

Subscription fees are non-refundable except as required by law.

SaferWatch reserves the right to modify pricing, plans, and service offerings upon notice.

  1. THIRD-PARTY RESPONDERS

SaferWatch is not responsible for the actions, omissions, negligence, response times, availability, conduct, or performance of:

• 911 centers
• Law enforcement agencies
• Fire departments
• Emergency medical services
• Private security companies
• Monitoring providers
• Cellular carriers
• Government agencies
• Other third parties

  1. INSURANCE

SaferWatch is not an insurer.

Customer is solely responsible for obtaining and maintaining adequate insurance coverage, including but not limited to:

• Health insurance
• Disability insurance
• Life insurance
• Property insurance
• Workers' compensation insurance
• General liability insurance

The fees charged by SaferWatch are based solely upon the value of the Services provided and not upon the value of Customer's property, personal safety, or potential losses.

  1. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF SAFERWATCH, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, MONITORING PROVIDERS, AND PARTNERS ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:

(A) $1,000; OR

(B) THE TOTAL FEES PAID BY CUSTOMER TO SAFERWATCH DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY, INCLUDING NEGLIGENCE, BREACH OF CONTRACT, STRICT LIABILITY, PRODUCT LIABILITY, OR OTHERWISE.

  1. DISCLAIMER OF WARRANTIES

THE SERVICES, LTE PANIC BUTTON, SOFTWARE, MOBILE APPLICATIONS, AND RELATED PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE."

SAFERWATCH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, OR UNINTERRUPTED OPERATION.

  1. EXCLUSION OF CONSEQUENTIAL DAMAGES

UNDER NO CIRCUMSTANCES SHALL SAFERWATCH BE LIABLE FOR:

• PERSONAL INJURY
• WRONGFUL DEATH
• LOST PROFITS
• LOST INCOME
• LOST BUSINESS OPPORTUNITIES
• EMOTIONAL DISTRESS
• PROPERTY DAMAGE
• SPECIAL DAMAGES
• INCIDENTAL DAMAGES
• CONSEQUENTIAL DAMAGES
• PUNITIVE DAMAGES

EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  1. INDEMNIFICATION

Customer agrees to defend, indemnify, and hold harmless SaferWatch, its affiliates, officers, directors, employees, contractors, agents, and service providers from and against all claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising from:

• Customer's use of the Services
• Misuse of the LTE Panic Button
• False alarms
• Violation of these Terms
• Violation of applicable laws
• Claims by third parties

  1. FORCE MAJEURE

SaferWatch shall not be liable for delays or failures caused by events beyond its reasonable control, including:

• Natural disasters
• Hurricanes
• Floods
• Fires
• Acts of terrorism
• Civil unrest
• Utility outages
• Cellular network failures
• Internet outages
• Government actions
• Labor disputes
• Pandemics

  1. PRIVACY

Customer acknowledges that personal information, location data, emergency contact information, and incident-related information may be collected, stored, processed, and shared as necessary to provide Services in accordance with the SaferWatch Privacy Policy.

  1. SEVERABILITY

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

  1. WAIVER OF SUBROGATION

Customer waives all rights of subrogation against SaferWatch and its representatives to the extent permitted by law.

  1. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles.

Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Broward County, Florida.

  1. ENTIRE AGREEMENT

These Terms and Conditions constitute the entire agreement between Customer and SaferWatch regarding the LTE Panic Button and related Services and supersede all prior agreements, representations, and understandings.

BY PURCHASING, ACTIVATING, OR USING THE LTE PANIC BUTTON OR RELATED SERVICES, CUSTOMER ACKNOWLEDGES THAT THEY HAVE READ, UNDERSTOOD, AND AGREED TO THESE TERMS AND CONDITIONS.
